1. Definitions 

In this Agreement: 

  • “Customer” refers to the party purchasing Gas or related accessories from Northgas. 
  • “Gas” means liquefied petroleum gas supplied by Northgas. 
  • “Company” and/or “Northgas” means AAM Energy Ltd. 
  • “Cylinders” means gas cylinders owned by Northgas or Calor Gas Ltd. 
  • “Commencement Date” means the date the Agreement becomes effective. 
  • “Calor outlet” means a Calor Centre, a Calor Principal Dealer, a Calor Dealer, a Calor Retailer, or another supply point approved by Calor. 
  • “Cylinder charge” refers to charges applied for cylinder refill or loss. 

2. Purpose of this Agreement 

This Agreement allows the Customer to use Cylinders as specified in the order to obtain Gas supplies and receive replacement Cylinders upon payment for the Gas in the exchanged Cylinders. This Agreement is not a rental agreement. 

3. Duration of this Agreement 

This Agreement commences on the Commencement Date and remains in force for an initial minimum period of 24 months. Thereafter, either party may terminate it by serving three months’ written notice. 

4. Price & Payment 

4.1 The price for Gas and related services shall be as set out in the order, exclusive of VAT unless otherwise stated. 

 4.2 Payment must be made before delivery or collection unless otherwise agreed in writing. 

 4.3 Trade account holders must settle invoices within 30 days from the invoice date. Late payments incur interest at 2% per annum above the Lloyds Bank base rate, accruing daily. 

5. Delivery and Collection 

5.1 Delivery is available within the designated service area and may be subject to additional charges. 

 5.2 Estimated delivery times are provided but not guaranteed. 

 5.3 The Customer must ensure accurate delivery details; Northgas is not liable for delays due to incorrect information. 

 5.4 Collection orders must be picked up within the specified time frame, failing which the order may be cancelled. 

6. Returns, Refunds, and Exchanges 

6.1 Faulty or damaged products must be reported within three business days of delivery. 

 6.2 Refunds or exchanges will be processed upon receipt and inspection of returned goods. 

 6.3 Custom-made or special-order items are non-returnable unless defective. 

 6.4 Returns are not accepted more than six years after delivery. 

7. Safety and Compliance 

7.1 Customers must ensure the safe and compliant use of Gas and Cylinders. 

 7.2 Northgas is not liable for damages arising from misuse, improper storage, or unauthorized modifications of Gas products. 

8. Customer Obligations 

8.1 The Customer must return Cylinders in good order upon termination of the Agreement. 

 8.2 Cylinders must not be sold, transferred, or loaned to third parties. 

 8.3 The Customer must store and use Cylinders safely, following all applicable regulations. 

8.4 During the continuance of this agreement does not buy or offer for sale either solely or jointly with any person or as their agent, directly or indirectly gas competitive with the company 

9. Ownership and Title 

9.1 Title to Gas passes to the Customer only upon full payment. 

 9.2 Cylinders remain the property of Northgas or Calor Gas Ltd. 

 9.3 Cylinders must not be refilled, altered, or disposed of improperly. Loss or damage to Cylinders incurs a replacement charge. 

10. Termination 

Northgas may terminate this Agreement immediately if: 

  • The Customer fails to make payment. 
  • The Customer breaches any Agreement terms. 
  • The Customer becomes insolvent. 

11. Liability 

11.1 Northgas’s liability is limited to the value of the goods supplied.

11.2 Northgas is not liable for indirect, consequential, or incidental damages, except in cases of death or personal injury caused by negligence. 

12. Force Majeure 

Northgas is not liable for non-performance due to circumstances beyond its control, including industrial disputes, supplier failures, or natural disasters. 

13. Governing Law and Dispute Resolution 

13.1 This Agreement is governed by English law. 

 13.2 Any disputes shall be resolved in the courts of England and Wales. 

14. Privacy and Use of Personal Information 

14.1 Customer information is used for account management, service administration & marketing purposes, by either Northgas &/or an authorised agent to contact you. 

 14.2 Northgas may conduct credit checks and share payment details with credit agencies. 

15. Notices 

Notices must be in writing and sent to Northgas’s registered office, via fax, or email. 

16. Safety Guidelines 

Do:  

✅ Handle Cylinders with care. 

 ✅ Use Cylinders in an upright position unless designed otherwise. 

 ✅ Ensure proper ventilation. 

 ✅ Store Cylinders securely and exchange them outdoors when possible. 

Don’t:  

❌ Expose Cylinders to excessive heat. 

 ❌ Attempt to disconnect a regulator if the flame doesn’t go out. 

 ❌ Store Cylinders in cellars or near drains. 

 ❌ Use propane Cylinders indoors. 

 ❌ Modify gas appliances without professional assistance.
